Merger of solar park operators COLEXON AG and 7C Solarparken NV

The listed companies COLEXON Energy AG, Hamburg, and 7C Solarparken NV, Mechelen, Belgium, jointly operate 31 solar park companies in Germany, France, Italy and Belgium with a total installed capacity of 67 MWp. In recent years, COLEXON had largely withdrawn from project development and concentrated on operating its own existing parks.

The merger with 7C, which operates its own solar plants and is also continuously acquiring additional parks, enables better use of resources through the bundling of portfolios and provides a good starting point for further growth.

ConsusPartner valued both companies in accordance with the IDW S1 valuation procedure and thereby determined the exchange ratio for the acquisition of the 7C shares in exchange for new shares in COLEXON. This capital increase in kind was approved by 94% of the represented share capital at COLEXON's Annual General Meeting. No legal challenges were filed.
