ConsusPartner advises the Province of Upper Austria and Energie AG on the merger of their fibre optic activities

In order to accelerate the comprehensive expansion of the fibre optic network in Upper Austria, the province of Upper Austria and Energie AG have decided to combine their activities in the area of network expansion and operation in the joint venture Breitband Oberösterreich (BBOÖ). The merger will avoid costly duplication of structures in the future and enable efficient, cost-effective and accelerated fibre optic expansion.

With the establishment of this joint venture, the province of Upper Austria and Energie AG have created an innovative structure that is suitable to serve as a blueprint for the comprehensive expansion of fibre optic infrastructure beyond the borders of Upper Austria.

ConsusPartner played a leading and exclusive advisory role in the preparation and implementation of this particularly complex merger transaction. As the overall project manager, ConsusPartner helped develop the concept for the joint venture throughout the entire project period and, together with KPMG and the law firm SCWP, successfully completed the spin-off, contribution and merger of the existing sub-operations.
